Welcome to ECOMZIER LLC ("Ecomzier," "we," "us," or "our"). These Terms of Service govern your access to and use of our website at ecomzier.com, our agency services, and our Shopify applications (collectively, the "Services").

By accessing our website, engaging our services, or installing any of our Shopify applications, you agree to be bound by these Terms.

1. About Ecomzier LLC

Ecomzier LLC is a Shopify Plus Design and Development Agency and software developer registered in the United States. We provide Shopify store design, development, migration, optimization, custom app development, and eCommerce consulting services.

2. Agency Services

2.1 Service Agreement All agency services are governed by a written Proposal provided before work begins, detailing scope, timeline, deliverables, and pricing. These Terms apply alongside your Proposal.

2.2 Client Responsibilities You agree to provide required content and materials on time, respond to approvals and communications promptly, ensure all content you provide is owned or properly licensed by you, and grant Ecomzier necessary access to your Shopify store and related accounts.

2.3 Revision Policy Each package includes a defined number of revisions as specified in your Proposal. The revision period begins upon receipt of the first revision request. Additional revisions beyond scope are charged at our hourly rate. "Unlimited Revisions" means unlimited revisions for 90 days from first deposit. Once final delivery or shared-screen training occurs, the revision period is complete.

2.4 Project Timelines All timelines are estimates and not guaranteed. Delays caused by client inaction, scope changes, or third-party platform issues do not constitute a breach by Ecomzier and do not entitle you to a refund.

2.5 Payment Terms A deposit is required before work begins. Final payment is due upon project completion before the site goes live. Late payments may result in project suspension. Promotional discounts are void if payment terms are not honored.

2.6 Refund Policy

  • 100% refund if requested before any design work begins
  • 100% refund if requested before the 3rd revision round
  • No refund after 3 or more revision rounds
  • No refund after final delivery or shared-screen training
  • No refund after 15 calendar days from order date
  • No refund on marketing, SEO, hosting, domain, or graphic design services once commenced

Refund requests must be submitted within 15 days to info@ecomzier.com.

2.7 Intellectual Property Upon full payment, all custom design and development work becomes your property. You grant Ecomzier the right to display completed work in our portfolio unless requested otherwise in writing. You warrant all content you provide is owned or licensed by you and indemnify Ecomzier against any intellectual property claims.

3. Shopify Application Terms

This section applies to merchants who install any Ecomzier app from the Shopify App Store, including our Amazon-Shopify Connector, TikTok Connector, Etsy Connector, or any future apps.

3.1 App License We grant you a limited, non-exclusive, non-transferable license to use our apps for legitimate business purposes. You may not reverse engineer, resell, sublicense, or use any app for unlawful purposes or in violation of Shopify's or Amazon's terms of service.

3.2 App Availability We strive to maintain high uptime but do not guarantee uninterrupted service. We may update, modify, or discontinue features with reasonable notice.

3.3 Amazon Connector App — Specific Terms

  • By using the Amazon Connector, you authorize Ecomzier to access your Amazon Seller Central account via Amazon SP-API within the scope of permissions you grant.
  • We access buyer Personally Identifiable Information (PII) including shipping addresses exclusively to fulfill your Amazon FBM orders in Shopify. This data is processed in compliance with Amazon's Data Protection Policy and permanently deleted within 30 days of order delivery.
  • You agree to use the app in compliance with Amazon's Seller Policies and Acceptable Use Policy.
  • You may revoke our access to your Amazon account at any time through Amazon Seller Central. Upon revocation, we will delete your data within 30 days.
  • You remain solely responsible for your Amazon seller account, listings, and compliance with Amazon policies. Ecomzier is a technology provider and is not liable for any Amazon account actions or suspensions.

3.4 App Pricing and Billing App pricing is as displayed on the Shopify App Store. By installing a paid app, you authorize Shopify to charge applicable fees. We reserve the right to change pricing with 30 days' notice.

4. Acceptable Use

You agree not to use our website, services, or applications to:

  • Violate any applicable law or regulation
  • Transmit spam, malware, or harmful code
  • Infringe any intellectual property rights
  • Attempt to gain unauthorized access to any systems
  • Engage in fraudulent or deceptive activities
  • Violate Shopify's or Amazon's Terms of Service

5. Disclaimers and Limitation of Liability

Our services are provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, Ecomzier shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services, including but not limited to lost profits, data loss, or business interruption.

Our total liability to you for any claim arising from these Terms shall not exceed the total amount paid by you to Ecomzier in the 3 months preceding the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless Ecomzier LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

7. Third-Party Services

Our services integrate with third-party platforms including Shopify, Amazon, TikTok, and Etsy. We are not responsible for the availability, accuracy, or policies of these platforms. Your use of third-party platforms is governed by their respective terms of service.

8. Termination

We may suspend or terminate your access to our services at any time with or without notice if you violate these Terms. Upon termination, all licenses granted to you cease immediately. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property rights, and limitation of liability.

9. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in Austin, Texas, except that either party may seek injunctive relief in court for intellectual property violations.

10. Changes to These Terms

We may update these Terms at any time. Updated Terms will be posted on our website with a revised date. Your continued use of our services after any update constitutes acceptance of the new Terms.
